These Terms of Service govern your use of Green Analiz websites and services. By accessing or using our site you agree to comply with these terms. If you represent an organization, you confirm you have authority to bind that organization to this agreement. We provide data and software services that include analytics, dashboards, and consulting. Use of our services is subject to the specific terms in a signed agreement when applicable. If there is a conflict between these terms and a mutually executed agreement, the signed agreement controls. When you use our services, you accept the privacy practices described in our Privacy Policy which is linked below and forms part of these terms for data handling rules. These terms are effective as of the date displayed on the top of this page and may be updated from time to time. We will post material changes and provide notice where required by law.
Use of services, accounts, and data
When you register for accounts or request services you must provide accurate information and keep credentials secure. You are responsible for activities that occur under your account. You must not misuse the service by attempting to probe, scan, or test the vulnerability of our systems or breaching authentication measures. For data provided to Green Analiz for analytics or reporting, you confirm that you have the rights to provide such data and that its transfer and processing comply with applicable law and third-party terms. We process operational and environmental datasets according to the Privacy Policy. For managed services involving deployment of monitoring equipment, final ownership and responsibilities for device maintenance are defined in the project statement of work. We may suspend access to services when necessary to protect security, to comply with legal obligations, or to remediate misuse. Service levels, support, and uptime commitments are set out in any contractual agreement; absent a signed agreement, services are provided as available. Charges for paid services will be invoiced and are due as specified in the invoice or contract. Failure to pay may result in suspension or termination in accordance with applicable rules and notice periods.
Intellectual property, feedback, and user content
All intellectual property rights in the platform, software, analytics models, and documentation are owned or licensed by Green Analiz. Clients are granted a limited, non-exclusive right to use deliverables under the terms of a contract. For client-provided data, you retain ownership while granting Green Analiz a license to process, analyze, and present results for the purposes of providing the services. If you submit feedback or suggestions, you grant Green Analiz an irrevocable, royalty-free license to use that feedback without obligation. User content published to public-facing features remains subject to the rights you grant during submission and must not contain illegal, confidential, or third-party copyrighted material without permission. We take reasonable steps to avoid disclosing client proprietary information, and confidentiality provisions are set out in contractual agreements. For open source components or third-party software included in deliverables, licenses are provided and obligations must be followed by recipients. If you believe that material on our services infringes your intellectual property rights, contact [email protected] with a clear notice so we can investigate and take action where appropriate.
Warranty disclaimer, limitation of liability, and dispute resolution
Green Analiz provides services with commercially reasonable skill and care; however, to the extent permitted by law we disclaim all other warranties including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that services will be error free or uninterrupted. Except where prohibited by applicable law, our total liability for claims arising out of or related to these terms is limited to the fees paid to Green Analiz for the specific service that gave rise to the claim in the preceding twelve month period. We are not liable for indirect, incidental, consequential, or punitive damages. Where parties are unable to resolve disputes by negotiation, disputes will be resolved by binding arbitration in the state of Oregon, USA, unless otherwise agreed in a signed contract, and subject to applicable local mandatory rules. Nothing in these terms limits your rights under applicable consumer protection laws where such laws apply. If a court finds a provision invalid it will be severed and the remaining provisions will continue to apply. Governing law for interpretation of these terms is the law agreed in any contract or, absent agreement, the laws of the state of Oregon, USA, without regard to conflict of law rules.
Termination, amendments, and contact
We may terminate or suspend access to services for breach of these terms, nonpayment, or to comply with laws. You may terminate your account by contacting support; termination does not relieve you of obligations incurred prior to termination. We may amend these terms and will provide notice of material changes as required by law. Continued use after posting of an updated version constitutes acceptance of the changes.
